About
Misha Yang is a Senior Managing Associate. She identifies clients’ legal concerns and provides turnkey work products customized for various stakeholders efficiently.
She is adept at advising capital allocators and private fund managers in pursuing and executing opportunities across various asset classes, including real assets, private equity, venture capital, hedge fund and private credit, on transactions ranging from primary fund launches, secondaries, revenue share arrangements, GP stake transactions, managed accounts and other bespoke fund products. She has also acted for portfolio companies and investors in technology, pharmaceutical and digital infrastructure sectors on financing and strategic matters in various structures across the capital stack, including private debt, minority and control equity investments, exit events in IPO, deSPAC, secondary transfers and trade sales, as well as other commercial arrangements for capitalizing assets, such as licensing, transfer/distribution, management and profit share contracts. Additionally, she assists clients in collaborating with other ecosystem participants to accomplish their business goals.
Misha is a native Mandarin speaker educated at a U.S. law school with a stint in Silicon Valley startups before commencing her legal career in Beijing and later transitioning to Hong Kong. She had gained extensive experience in other leading international law firms before joining Broadfield. She is also a Chartered Alternative Investment Analyst.
Private Funds Formation and Investment Management:
- Represented an Asian sovereign wealth fund in its LP investments in commingled PE funds sponsored Carlye, Warburg Pincus.
- Represented a billion-dollar single-family office based in Singapore in its LP investment in a customized solution fund sponsored by KKR.
- Represented an Australian sovereign wealth fund in its anchor investment in a PE fund of one sponsored by Goldman Sachs.
- Represented an asset manager with trillion-dollar AUM in its fund of one pursuing private credit strategy invested by a Middle Eastern sovereign wealth fund.
- Represented an Asian sovereign wealth fund in its LP investments in multiple venture funds sponsored by investment managers in the Guangdong–Hong Kong–Macao Greater Bay Area.
- Represented multiple hedge fund managers in the formation of separately managed accounts and start-up fund managers in launching their inaugural funds pursuing liquid and illiquid strategies.
- Advised investment managers on fund structuring, seeding, revenue share, carry plans/incentive design, marketing and investor communications, governance and fiduciary duties.
Private Investment Transactions:
- Advised a hedge fund manager based in Hong Kong on its opportunistic private subscription and PIPE investments in connection with a U.S. deSPAC transaction.
- Advised a GBA focused fund on its loan plus warrant investment in a HKSE listed issuer in the energy/natural resources sector.
- Advised a logistics investment manager based in Hong Kong and managing assets in Japan and mainland China in its recapitalization and strategic business combination matters.
- Advised a Hong Kong manager on its secured exchangeable notes investments in two pre-IPO pharmaceutical companies.
- Advised a PRC state-owned distressed asset manager in a series of key person triggered transactions to regain the management rights of 26 U.K. hotels.
- Advised multiple USD fund managers and corporate clients in their growth, venture and strategic investments in targets with operations in APAC, with sectors including FinTech, biotech/biopharma, eCommerce, education, software and digital infrastructure.
- Advised the subsidiary of a HKSE listed issuer on its private convertible notes issuance to a private credit fund specializing in healthcare investment and advised the client on the subsequent amendment and notes transfer issues.
- Advised a clean energy company in Singapore as the target in a U.S. deSPAC transaction and the related prepaid forward purchase financing arrangement with a special situation fund.
- Advised a genetic testing company based in Singapore in its business combination with a software company based in the U.S. in anticipation for a U.S. listing of the combined entity.
